Use this template for contracts involving AI-assisted denial, closure, disenrollment, or adverse determination systems.

Minimum clauses

• specific reasons, not generic notices
• log retention and audit access
• claimant-accessible records
• appeal service levels
• reporting on denial, appeal, and overturn rates
• traceability from vendor output to final action
• prohibited AI-only final decisions for named high-stakes categories

Accountability clause

The acting institution retains accountability for the outcome and cannot disclaim responsibility because a vendor supplied the output, score, or recommendation.

Reporting clause

Vendor should provide regular reporting on:

• denial volume
• appeal rate
• overturn rate
• notice quality failures
• record retrieval performance
